Plate2Plate Organization Partner Agreement (Draft)
Version partner-agreement-draft-0.96. This document is shared so applicants know what they are agreeing to before they apply.
DRAFT — PENDING LEGAL REVIEW. This text has not been reviewed or approved by an attorney, is not legal advice, and creates no legal certainty in any jurisdiction. The open questions listed at the end of this document are for review by Kansas counsel and the payment provider.
1. Who this agreement is between
This agreement is between Halal Lyfestyle LLC, which operates Outta What? and the Plate2Plate program (“Outta What?”, “we”, “us”), and the organization identified in the partner application (“Organization”, “you”). It takes effect when an authorized administrator of Outta What? countersigns the application record. It is not a licence to solicit donations: signing it does not register you to fundraise and does not by itself authorize any campaign to accept money.
2. Authority and accurate representations
You confirm that the person submitting the application is an authorized representative of the Organization with actual authority to bind it, and that their name, role and contact details are recorded accurately. For every campaign, an authorized representative must certify the campaign’s purpose, the intended use of funds, the service area, the period of fundraising and the Organization’s authority to raise funds for that purpose, and must confirm the details again before any edit that changes them. The legal name, registration details, contact details, mission and program information you provide must be accurate and current, and you must correct anything that becomes inaccurate within a reasonable time. Outta What? may ask for evidence of authority, such as a board resolution, an extract of minutes, or a signatory list.
3. Permitted use of the platform
You may use Plate2Plate only for the activities Outta What? has separately approved for you: a public partner profile, promotion of events and services, and/or fundraising for a specific reviewed activity. Each permission is granted on its own, may be limited in scope or time, and may be revoked. Approval of a campaign as a listing is not approval to accept donations. No campaign may accept a real donation until all three of the following are confirmed and recorded: (a) the Organization’s required legal registrations, including charitable-solicitation status as determined for each jurisdiction in which it solicits; (b) Outta What?’s organization checks — identity, representative authority, and use-of-funds review; and (c) the payment provider’s approvals and completion of its connected-account onboarding. Until all three are confirmed, a campaign may be shown only as a closed listing, and any attempt to donate must fail.
4. Campaign purpose and use of funds
Every fundraising campaign must state its purpose, the intended use of funds, the service area, the donation terms and the period during which funds are sought. An authorized representative must confirm in writing that the stated purpose is the Organization’s genuine purpose and that the Organization intends to spend funds as described. Funds raised through a campaign must be used only for the stated purpose; a material change to that purpose requires Outta What?’s prior approval and disclosure to donors before further donations are accepted. You agree not to overstate results, to imply guarantees, or to publish impact figures you cannot support with records.
5. Your compliance responsibilities and what verification means
You are responsible for your own legal, tax, charitable-solicitation and reporting obligations, including registration in each jurisdiction where you solicit and any licence, bonding or disclosure that applies. Outta What? verification is a platform review of the documents and information you provide. It is not government approval, not charity certification, not a determination that you are compliant with any law, and not a guarantee that a contribution is tax deductible. It may be limited to what we were able to check, and it does not transfer any of your obligations to us. Outta What? does not claim — and you must not state or imply — that Halal Lyfestyle LLC is registered as a professional fundraiser, a charitable organization, or a commercial co-venturer in any jurisdiction; no such registration has been verified, and whether one is required is an open question for counsel.
6. Payment provider terms
Donations, if and when enabled, will be processed by a third-party payment provider through that provider’s own connected-account onboarding, and the provider — not Outta What? — decides whether the Organization may receive funds. You must accept the provider’s terms directly and complete its verification. Outta What? never collects your bank credentials and does not store raw card details. Payout timing, reserves, holds, refunds, disputes and chargebacks are governed by the provider’s terms and, where applicable, by card-network rules. A campaign cannot accept donations while the provider’s approvals are missing, withdrawn or suspended.
7. Fees, refunds, disputes and payouts
While donations are enabled, Outta What? retains a platform fee of 3% of each eligible donation amount. The payment provider’s processing fee is deducted from the Organization’s proceeds at the provider’s actual rate for that transaction, and the Organization receives the remaining balance after applicable deductions and adjustments. Both amounts are disclosed to the donor before the donation is completed, and both are recorded at transaction level. For each transaction the Organization’s ledger must show the gross amount, the platform fee, the provider’s processing fee as reported by the provider, every refund, chargeback, reversal and other adjustment with its note, and the resulting net proceeds. Fees are never estimated, averaged or inferred: where a provider record does not yet exist, the fee and the net proceeds are shown as unresolved rather than filled in. Ledger figures must reconcile to the provider’s records, be retained, and remain available to the Organization on request. Refund and dispute handling, chargeback liability and payout timing follow the provider’s terms and must be documented before a campaign opens. No fee is charged and no fee arrangement is active while donations are disabled.
8. Receipts and tax statements
Any receipt issued will identify the recipient organization and the transaction. Outta What? does not promise or guarantee that a contribution is tax deductible, and will not describe a contribution as deductible unless the recipient’s verified status supports it and the wording has been reviewed. Receipt language must reflect the recipient’s actual status and the contribution type — including whether any goods or services were provided — and must be reviewed before use.
9. Privacy, document retention and secure deletion
Verification documents are stored in private, non-public storage. They are not published, and no public profile, campaign page or ledger row may expose them. Access is limited to personnel who need it to review or audit eligibility; each access is logged with the person, time and purpose, and access is withdrawn when it is no longer required. Documents are kept only as long as needed for review, dispute resolution, audit and legal obligations, then deleted securely. When an application is rejected or withdrawn, or this agreement ends, documents are deleted within a defined retention period unless a legal hold or a lawful preservation obligation applies — and you are told what was retained and why. You agree not to submit personal identity documents, bank details, beneficiary information or third-party personal data unless we specifically request them, and to handle any such information you hold lawfully, minimally and with dignity. Suspected unauthorized access is escalated to the parties affected without undue delay.
10. Intellectual property
You grant Outta What? a non-exclusive, revocable licence to display the name, logo, images and campaign text you submit, solely to operate Plate2Plate. You confirm you have the right to grant that licence. Either party may withdraw the licence with written notice, subject to material already published.
11. Prohibited conduct
You must not impersonate another organization, use another organization’s name, logo or records without written authorization, misrepresent the use of funds, solicit outside the approved campaign, accept donations through channels outside Plate2Plate while presenting the campaign as part of Plate2Plate, misrepresent your verification, registration or tax status, or make unsupported claims about impact, endorsement or tax treatment.
12. Suspension, termination and appeals
Outta What? may suspend a campaign or an Organization’s access immediately where we reasonably believe there is fraud, misrepresentation, a lapsed or unverifiable registration, a payment-provider restriction, a donor complaint suggesting a risk to funds, or a risk to donors or beneficiaries. Suspension stops new donations; it does not by itself cancel donations already completed. Where practical, we will state what was suspended, why, what would resolve it, and who to contact. Balances already collected are handled under the provider’s terms: amounts subject to a refund, dispute, chargeback or reserve may be held until resolved, and amounts already settled to the Organization are not recalled by Outta What? except where a reversal or adjustment is required by the provider or by law. You must not open a replacement campaign for the same purpose while a suspension is in place. Appeals: you may appeal in writing to the contact given in the suspension notice; the appeal is reviewed by a person who did not make the original decision, answered within a stated period, and recorded with its reasoning in the audit log. Termination ends permission to use Plate2Plate and requires withdrawal of ongoing solicitations, and does not release either party from obligations that already arose — including recordkeeping, privacy, and unresolved refunds or disputes.
13. Recordkeeping and audit cooperation
You agree to keep complete records supporting the receipt and use of funds raised through Plate2Plate — campaign, date, amount, donor information where held, fees, adjustments and the expenditure each fund was applied to — for at least as long as any applicable legal requirement. Transaction-level fee and payout records supplied by the provider or by Outta What? form part of that record. You agree to provide records on reasonable request, including for complaint investigations, reconciliation or a regulator’s lawful request, and to cooperate with a reconciliation between your records and the platform ledger.
14. Complaints
Complaints about a partner, campaign or donation are logged, reviewed by a person, and answered. A concern about use of funds is reviewed against the campaign’s stated purpose and the Organization’s records, and may lead to suspension under section 12. Suspected fraud is escalated and may be reported to the payment provider and relevant authorities. Outcomes and the reasoning behind them are recorded for audit.
Draft — pending legal review. Nothing here is legal advice, and no attorney has reviewed or approved this text. Agreeing to this draft does not enable donations: campaigns remain closed until the conditions in section 3 are met, and payment processing stays switched off.

partner-agreement-draft-0.962026-11-03
Conditional donations, transaction-level records, verification wording, privacy and appeals
- §3: a campaign cannot accept a real donation until legal registrations, Outta What? organization checks, and payment-provider approvals are all confirmed and recorded; until then it is a closed listing only.
- §7: transaction-level fee and payout records now required, itemizing gross, platform fee, provider processing fee, refunds, disputes, chargebacks and other adjustments, and net proceeds; estimates are prohibited and unresolved amounts must be shown as unresolved.
- §2 and §4: an authorized representative must confirm the campaign purpose, use of funds and authority to act, and re-confirm before material edits.
- §5: verification is expressly a platform review — not government approval, not charity certification, not a compliance determination, and not a guarantee of tax deductibility.
- §5: explicit statement that no professional-fundraiser, charity or commercial co-venturer registration is claimed for Halal Lyfestyle LLC, and none has been verified.
- §9: document privacy strengthened with role-limited access, logged access, a defined retention period, and secure deletion on rejection, withdrawal or termination.
- §12: suspension, pending balances, refunds, disputes, chargebacks and a documented appeal route separated and explained; replacement campaigns barred during suspension.
- §13: records extended to transaction-level fee and payout data and to reconciliation with the platform ledger.
- §8 and §11: no deductibility claim without verified status; misrepresenting verification, registration or tax status added to prohibited conduct.
- §1: clarified that signing is not a licence to solicit and does not authorize donations.
- Status banner and review notes: the draft remains labeled DRAFT — PENDING LEGAL REVIEW, no attorney approval is claimed, and open questions are listed for Kansas counsel and the payment provider.
- No functional change: donations, payouts and payment processing remain disabled.

Unresolved questions
Deliberately unanswered. They are listed here so the draft is not mistaken for a settled position.
Kansas attorney
- 1.Correct legal description of Halal Lyfestyle LLC for the preamble: exact legal name, entity type, state of formation, registered agent and principal address.
- 2.Does Halal Lyfestyle LLC need charitable-solicitation registration in Kansas, or in any state where a partner solicits, in order to host Plate2Plate campaigns?
- 3.Is a professional-fundraiser or commercial co-venturer registration required or advisable for the platform, and if so what bonding, filing or disclosure follows?
- 4.How should the 3% platform fee be characterized and disclosed — must it appear as a distinct line before checkout, and what wording satisfies Kansas consumer-protection expectations?
- 5.What receipt or written acknowledgment must a donor receive, and what language satisfies IRS substantiation for contributions of $250 or more where no goods or services were provided?
- 6.Who bears chargeback, fraud and refund losses under Kansas law, and does a donor have a statutory refund right the agreement must state?
- 7.What retention period applies to verification documents and identity records, and does secure deletion on rejection satisfy record-retention duties?
- 8.Does the current verification language in §5 adequately avoid implying government approval, endorsement or charity certification?
- 9.Should the agreement add limitation of liability, indemnity, arbitration or venue clauses, and what Kansas constraints apply to each?
- 10.Does hosting events and programs for non-charity community organizations require different disclosures than fundraising?
- 11.Is the Organization required to certify tax-exempt status, and what should the platform do when a claimed status cannot be confirmed in IRS records?
Payment provider
- 1.Which provider and which account model (connected accounts, platform payouts, or destination charges) will process donations?
- 2.Can the platform collect the 3% platform fee as an application fee, and is it deducted before or after the processing fee?
- 3.Who pays the processing fee — the donor, or the Organization’s proceeds — and what exact fee, net and payout fields are exposed at transaction level by API and webhook?
- 4.How are refunds, partial refunds, chargebacks, reversals and reserves represented, and can those records be stored as the canonical fee record?
- 5.What rounding rule applies to a 3% application fee on small amounts, and is the currency fixed to USD?
- 6.What payout timing, reserve or hold applies to newly verified nonprofit accounts, and can a chargeback create a negative balance or platform liability?
- 7.What KYC does the provider require for organizations (EIN, beneficial owners, board authorization), and can it approve an organization whose tax-exempt determination is pending?
- 8.Does the provider require its own fee-disclosure wording before checkout, or its own branded receipt after payment?
- 9.Are donor tips or “cover the fees” options permitted under the provider’s platform terms?
- 10.What data-processing terms apply, and what may the platform store beyond provider transaction and payout identifiers?
Registration status: not verified. Nothing in this draft claims or implies that Halal Lyfestyle LLC is registered as a professional fundraiser, a charitable organization, or a commercial co-venturer in any jurisdiction. Whether any such registration is required is an open question for counsel.
